Terms of Use

These Terms of Use (hereinafter referred to as "these Terms") set forth the conditions for using the online store (hereinafter referred to as "the Service") provided by BDP Corporation (hereinafter referred to as "the Company") on this website. Users (hereinafter referred to as "Users") shall use the Service in accordance with these Terms.

Article 1 (Applicability)

  1. These Terms shall apply to all relationships between Users and the Company regarding the use of the Service.

  2. The Company may establish separate rules (hereinafter referred to as "Individual Regulations") in addition to these Terms concerning the use of the Service. These Individual Regulations shall be considered part of these Terms, regardless of their names.

  3. In the event of any conflict between the provisions of these Terms and those of the Individual Regulations, the provisions of the Individual Regulations shall take precedence unless otherwise stated.

Article 2 (Registration)

  1. In order to use the Service, a prospective user must agree to these Terms and apply for registration using the method prescribed by the Company. The registration is complete when the Company notifies the applicant of the approval.

  2. The Company may refuse registration if it determines that the applicant has any of the following conditions, and the Company is not obligated to disclose the reason for the refusal:

    1. If false information was provided in the registration application.

    2. If the applicant has previously violated these Terms.

    3. If the Company deems the registration request inappropriate for any other reason.

Article 3 (Management of User ID and Password)

  1. Users are responsible for managing their user ID and password for the Service.

  2. Users may not transfer, lend, or share their user ID and password with third parties under any circumstances. The Company considers any login using a valid user ID and password combination to be an action by the registered user.

  3. The Company is not responsible for any damages arising from the use of the user ID and password by a third party, except in cases of intentional misconduct or gross negligence by the Company.

Article 4 (Sales Contract)

  1. In the Service, a sales contract is concluded when a user makes a purchase request to the Company, and the Company notifies the user of its acceptance of the request. Ownership of the product transfers to the user when the Company hands the product over to the delivery service.

  2. The Company may cancel the sales contract without prior notice to the user if the user falls under any of the following conditions:

    1. If the user violates these Terms.

    2. If delivery is not completed due to an incorrect or unknown address, or prolonged absence.

    3. If the Company deems the trust between the Company and the user to have been broken.

  3. Payment methods, delivery methods, cancellation procedures, and return procedures related to the Service are determined separately by the Company.

Article 5 (Intellectual Property Rights)

The copyright and other intellectual property rights of the product images and other content provided by the Service (hereinafter referred to as "Content") belong to the Company and its legitimate rights holders, including content providers. Users may not reproduce, republish, alter, or otherwise use the Content without permission.

Article 6 (Prohibited Actions)

Users must not engage in any of the following actions while using the Service:

  1. Actions that violate laws or public order and morals.

  2. Actions related to criminal activities.

  3. Infringement of copyrights, trademarks, or other intellectual property rights contained in the Service.

  4. Destruction or interference with the Company's servers or network functions.

  5. Commercial use of information obtained from the Service.

  6. Actions that may disrupt the operation of the Company's services.

  7. Unauthorized access or attempts to access the Service.

  8. Collecting or accumulating personal information of other users.

  9. Impersonating another user.

  10. Providing direct or indirect benefits to anti-social forces in relation to the Service.

  11. Any other actions deemed inappropriate by the Company.

Article 7 (Suspension of Service)

  1. The Company may suspend or interrupt the provision of all or part of the Service without prior notice to the user if any of the following conditions occur:

    1. Maintenance or updating of the computer system for the Service.

    2. Force majeure events such as earthquakes, lightning, fire, power outages, or natural disasters that make it difficult to provide the Service.

    3. Computer or communication failures due to accidents.

    4. Other cases where the Company deems it difficult to provide the Service.

  2. The Company shall not be liable for any loss or damage incurred by the user or third parties due to the suspension or interruption of the Service, regardless of the reason.

Article 8 (Restrictions on Use and Account Deletion)

  1. The Company may restrict the use of all or part of the Service or delete a user’s registration without prior notice if any of the following conditions apply:

    1. If the user violates any provision of these Terms.

    2. If it is found that the user has provided false information during registration.

    3. If the user's credit card, as a payment method, is suspended.

    4. If the user fails to fulfill payment obligations.

    5. If the user does not respond to the Company's communication within a certain period.

    6. If the user has not used the Service for a certain period after their last use.

    7. If the Company deems the use of the Service by the user inappropriate.

  2. The Company shall not be liable for any damages incurred by the user due to actions taken under this article.

Article 9 (Withdrawal)

Users may withdraw from the Service by following the prescribed procedures for withdrawal.

Article 10 (Disclaimers and Limitation of Liability)

  1. The Company does not guarantee that the Service is free from factual or legal defects (including safety, reliability, accuracy, completeness, effectiveness, suitability for specific purposes, security, defects, errors, bugs, or infringements of rights).

  2. The Company shall not be liable for any damages incurred by the user due to the Service. However, if the contract between the Company and the user regarding the Service is considered a consumer contract under the Consumer Contract Law, this disclaimer shall not apply. Even in such cases, the Company shall not be liable for damages arising from special circumstances (including those that the Company or user could foresee or should have foreseen).

  3. The Company is not responsible for any transactions, communications, or disputes that occur between users or between a user and a third party through the Service.

Article 11 (Changes to the Service)

The Company may change the content of the Service or discontinue the Service without notice to the user and shall not be liable for any damages incurred by the user as a result.

Article 12 (Changes to the Terms of Use)

The Company may change these Terms at any time without notice to the user. If the user continues to use the Service after the changes, the user is deemed to have agreed to the revised Terms.

Article 13 (Handling of Personal Information)

The Company will handle personal information obtained through the use of the Service in accordance with its "Privacy Policy."

Article 14 (Notices and Communications)

Notices or communications between the user and the Company will be made in the manner prescribed by the Company. Unless the user notifies the Company of any changes, the contact details currently registered will be deemed valid, and notifications or communications sent to those details will be deemed to have reached the user.

Article 15 (Prohibition of Transfer of Rights and Obligations)

Users may not transfer or pledge their rights or obligations under the user agreement or these Terms to a third party without the prior written consent of the Company.

Article 16 (Governing Law and Jurisdiction)

  1. The interpretation of these Terms shall be governed by Japanese law, excluding the application of the United Nations Convention on Contracts for the International Sale of Goods.

  2. In the event of any dispute regarding the Service, the court with jurisdiction over the Company's head office shall have exclusive jurisdiction.
